These Terms of Service (“Terms”) govern your access to and use of Gentlerist.com (the “Website”) and purchases made directly from Gentlerist through the Website.

Throughout these Terms, “Gentlerist,” “we,” “us,” and “our” refer to Gentlerist and the entity operating Gentlerist.com. “You” and “your” refer to any visitor to the Website or purchaser of our products.

By accessing or using the Website, creating an account, or placing an order with us, you agree to these Terms and to the policies incorporated into them by reference, including our Privacy Policy, Return & Refund Policy, Shipping Policy, Purchase Options Cancellation Policy, and Legal Notice & Disclaimer.

Please read these Terms carefully. Section 23 contains a binding arbitration provision and class-action waiver that affect your legal rights.

If you do not agree to these Terms, please do not use the Website or place an order. By using the Website or placing an order through Gentlerist.com, you agree to be bound by these Terms.

1. Eligibility & Personal Use

By using the Website or placing an order, you represent that you are at least the age of majority in your jurisdiction or are otherwise legally permitted to enter into the transaction.

Products purchased through Gentlerist.com are intended for personal use unless otherwise expressly agreed by Gentlerist in writing.

You may not use the Website or purchase our products for fraudulent, unlawful, unauthorized resale, diversion, or other unauthorized commercial purposes.

We reserve the right to limit quantities, refuse sales, cancel orders, restrict accounts, or take other reasonable measures where we believe products are being purchased for unauthorized resale, diversion, fraud, or abuse.

2. Products, Ingredients & Individual Responses

We make reasonable efforts to present our products and product information accurately. Product descriptions, ingredients, packaging, sizes, availability, imagery, pricing, and other information may be changed or updated from time to time without prior notice.

Our formulas may also be refined or updated over time. Where applicable, the ingredient declaration appearing on the product packaging should be considered the most current information for the product received.

Because Gentlerist formulas may incorporate botanical, naturally derived, bioactive, and freshly prepared components, minor variations in appearance, color, aroma, texture, or other sensory characteristics may occur between batches and do not necessarily indicate a product defect.

Individual skin types, sensitivities, tolerances, allergies, and responses vary. While our products are formulated with careful consideration for skin compatibility, Gentlerist cannot guarantee that every product will be compatible with every individual.

Customers are responsible for reviewing ingredient information and directions before use and for determining whether a product is appropriate for their individual needs. If irritation or sensitivity occurs, discontinue use.

A personal sensitivity or adverse response does not necessarily indicate that a product is defective. Eligibility for returns, refunds, or other order-related resolutions remains governed by our Return & Refund Policy.

Gentlerist products are cosmetic products and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Additional information concerning product use and Website content is provided in our Legal Notice & Disclaimer.

3. Pricing & Availability

Prices, product availability, promotional offers, and product assortments are subject to change without notice.

The price applicable to an order will generally be the price displayed at checkout when the order is submitted, subject to correction of errors as permitted by law.

We reserve the right to correct typographical errors, pricing errors, inaccuracies, or omissions and, where appropriate, to decline or cancel an affected order.

If payment has already been collected for an order that we cancel because of an error or product unavailability, the applicable amount will be returned to the original payment method.

Products and quantities may be limited and products may be discontinued at any time.

4. Orders & Acceptance

Submitting an order constitutes an offer to purchase the products included in that order.

An automated order confirmation confirms that we have received your order. It does not constitute final acceptance of your order or a guarantee that the order will be fulfilled.

Acceptance generally occurs when we dispatch the order or otherwise expressly confirm acceptance.

To the fullest extent permitted by applicable law, we reserve the right to accept, decline, limit, hold, verify, or cancel an order before fulfillment.

We may take such action where reasonably appropriate, including in connection with:

  • suspected fraud or unauthorized payment activity;

  • inaccurate or incomplete billing, shipping, or account information;

  • unusual or excessive order quantities;

  • suspected unauthorized resale or product diversion;

  • misuse or abuse of promotional offers, credits, returns, refunds, replacements, or other policies;

  • previous fraudulent or abusive activity associated with an account, customer, payment method, address, or transaction;

  • product unavailability;

  • pricing, inventory, or Website errors; or

  • other circumstances reasonably indicating that an order should not be fulfilled.

We may contact you to verify information before accepting or fulfilling an order.

If we cancel an order after payment has been collected, any amount properly due back to you will be returned to the original payment method.

5. Billing & Account Information

You agree to provide current, complete, and accurate purchase, billing, shipping, and account information.

You are responsible for reviewing your order information before submitting the order, including the products selected and the billing and delivery addresses provided.

You represent that you are authorized to use any payment method submitted in connection with an order.

We may use third-party payment processors, fraud-prevention services, address-verification services, and other providers to process or verify transactions.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account to the extent permitted by applicable law.

6. Payment & Refund Method

Payment is due as indicated at checkout.

By submitting payment information, you authorize Gentlerist and our payment service providers to charge the applicable amount to the payment method provided.

Any refund issued by Gentlerist for a transaction processed directly by Gentlerist will be made in accordance with our Return & Refund Policy and returned to the original payment method except where otherwise required by law or expressly agreed by Gentlerist.

A refund is a reversal or adjustment of an underlying transaction. Gentlerist does not issue refunds, reimbursements, payment reversals, or other order-related resolutions for transactions processed by third-party retailers.

7. Pre-Orders

From time to time, select products may be available for pre-order before they are available for immediate fulfillment.

Payment may be collected in full at the time of purchase or otherwise as indicated at checkout.

Estimated availability and fulfillment dates are estimates and may change due to production, supply, transportation, quality-control, or other circumstances.

Cancellation of eligible pre-orders is governed by our Purchase Options Cancellation Policy.

8. Shipping & Delivery

Order preparation, shipping methods, estimated transit times, international shipping, customs, delivery, refused shipments, and related matters are governed by our Shipping Policy.

Shipping and delivery dates are estimates unless expressly stated otherwise.

You are responsible for providing accurate and complete shipping information.

9. Returns, Refunds, Damages & Replacements

Returns, refunds, damaged products, replacements, cancellations, and related order matters are governed by our Return & Refund Policy.

Products must satisfy the eligibility requirements stated in that policy to qualify for return or refund.

Gentlerist reserves the right to inspect returned merchandise and to limit or refuse a return, refund, replacement, credit, or other accommodation where the applicable requirements are not satisfied or where we reasonably determine that activity involves fraud, misrepresentation, policy abuse, unauthorized resale, diversion, or other misuse.

Any discretionary accommodation, credit, replacement, or exception provided by Gentlerist does not modify our policies or create an obligation to provide the same or similar accommodation in the future.

10. Third-Party Retail Purchases

These Terms govern purchases made directly through Gentlerist.

For products purchased through a third-party retailer, all order-related matters are governed by that retailer’s policies and must be resolved directly with the original point of purchase.

Gentlerist does not provide order-related resolutions for purchases not made directly through Gentlerist.

Products purchased from sellers that are not authorized Gentlerist stockists are outside our authorized retail network. Gentlerist cannot guarantee or verify the provenance, chain of custody, storage, handling, condition, or authenticity of products obtained through unauthorized sellers.

Nothing in this section prevents a person from contacting Gentlerist with a legitimate product quality or safety question.

11. Promotions, Discounts & Store Credits

Promotions, discount codes, gifts with purchase, store credits, courtesy credits, and other offers are subject to their stated terms, eligibility requirements, exclusions, and promotional periods.

Unless expressly stated otherwise:

  • promotional offers have no cash value;

  • promotional codes and credits may not be sold, reproduced, transferred, or exchanged for cash;

  • promotional offers may not be combined;

  • promotions apply only during their stated promotional periods; and

  • Gentlerist may cancel, invalidate, or decline promotions or credits obtained or used through error, fraud, unauthorized distribution, manipulation, or abuse.

Returning an item may cause an order to no longer satisfy the qualifying terms of a promotion. Where permitted by applicable law, the amount refunded may be adjusted accordingly.

A discretionary courtesy credit or accommodation does not constitute an admission of liability, product defect, or entitlement to reimbursement.

12. Gift Cards

Gift cards are subject to any additional terms presented at the time of purchase and applicable law.

Gift cards may not be redeemed for cash except where required by law.

You are responsible for safeguarding gift card information. Gentlerist is not responsible for unauthorized use resulting from loss, theft, or disclosure of gift card credentials except where otherwise required by law.

13. Fraud, Abuse & Misrepresentation

Gentlerist reserves the right to take reasonable measures to protect our business, customers, products, and retail network from fraud, abuse, or deceptive activity.

This may include refusing or cancelling transactions, limiting future purchases, declining discretionary accommodations, contesting improper payment disputes or chargebacks, restricting accounts, preserving relevant records, or taking other appropriate action.

You may not knowingly submit false, misleading, fabricated, altered, or materially incomplete information in connection with an order, return, refund request, replacement request, product quality or safety question, feedback or report, payment dispute, promotion, or other request for financial or non-financial accommodation.

Nothing in this section restricts a customer from providing legitimate feedback, asking a product question, exercising a lawful payment-dispute right, reporting a genuine product matter, or exercising any other right provided by applicable law.

14. Website Use

You may use the Website only for lawful purposes.

You may not:

  • interfere with or disrupt the operation or security of the Website;

  • attempt to gain unauthorized access to the Website, customer accounts, systems, or networks;

  • introduce malware, viruses, malicious code, or other harmful technology;

  • scrape, crawl, harvest, copy, or systematically extract Website content except as permitted by law;

  • impersonate another person or misrepresent your identity or affiliation;

  • use the Website to engage in fraud or other unlawful activity;

  • circumvent security, purchase, account, promotional, or transaction restrictions; or

  • use Website content or services in a manner that infringes the rights of Gentlerist or another party.

We may restrict or terminate access to the Website where we reasonably believe these Terms have been violated.

15. Intellectual Property

Unless otherwise indicated, the Website and its contents—including text, product names, trademarks, logos, graphics, photographs, images, video, designs, artwork, copy, trade dress, and other materials—are owned by or licensed to Gentlerist and are protected by applicable intellectual property laws.

The Website and its contents may be used for personal, non-commercial purposes only.

No content may be reproduced, republished, distributed, modified, transmitted, commercially exploited, or otherwise used without prior written permission from Gentlerist except as expressly permitted by law.

Nothing on the Website grants any license or right to use any Gentlerist trademark, trade name, logo, copyrighted work, trade dress, or other intellectual property without our prior written authorization.

16. Reviews, Feedback & Submitted Content

If you voluntarily submit a product review, photograph, video, testimonial, suggestion, feedback, or other content to Gentlerist, you represent that you have the right to provide that content and that it does not violate another party’s rights.

Unless otherwise expressly agreed, you grant Gentlerist a non-exclusive, worldwide, royalty-free, transferable and sublicensable right to use, reproduce, display, publish, adapt, distribute, and create derivative works from voluntarily submitted content for legitimate business, editorial, marketing, and promotional purposes.

You retain any ownership rights you otherwise hold in your content.

This provision does not alter our obligations regarding personal information under our Privacy Policy.

We are not obligated to publish, retain, or use submitted content and may moderate or remove content where permitted by law.

17. Third-Party Services & Links

The Website may contain links to or integrations with third-party websites, applications, payment providers, social networks, or other services.

Third-party services are governed by their own terms and privacy practices.

Gentlerist does not control and is not responsible for the availability, content, security, products, services, representations, or practices of unaffiliated third parties.

The inclusion of a third-party link or service does not necessarily constitute endorsement by Gentlerist.

18. Privacy & Electronic Communications

Your submission of personal information through the Website is governed by our Privacy Policy.

By using the Website or communicating electronically with Gentlerist, you consent to receiving transactional notices, disclosures, records, and other communications electronically where permitted by applicable law.

Electronic records and communications may satisfy legal requirements that communications be in writing to the extent permitted by applicable law.

Marketing communications are subject to separate consent and opt-out requirements.

19. Website Availability & Disclaimer

We make reasonable efforts to maintain the Website and provide accurate and current information, but do not guarantee that access to the Website will be uninterrupted, error-free, secure, or continuously available.

To the fullest extent permitted by applicable law, the Website and its informational content are provided on an “as available” basis.

We do not warrant that Website content will be complete, error-free, or suitable for every purpose.

Nothing in this section is intended to disclaim or limit warranties, remedies, product-liability obligations, statutory rights, or consumer protections that cannot lawfully be excluded or limited.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Gentlerist and its owners, officers, directors, employees, affiliates, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to the Website, these Terms, or a transaction with Gentlerist.

To the fullest extent permitted by applicable law, and except for liability that cannot lawfully be limited, Gentlerist’s aggregate liability arising from a particular direct purchase or transaction will not exceed the amount actually paid to Gentlerist for the product or transaction giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, nor does it waive any non-waivable statutory consumer protection.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Gentlerist and its owners, officers, directors, employees, affiliates, agents, contractors, licensors, and service providers from third-party claims, liabilities, losses, damages, judgments, and reasonable expenses arising from:

  • your unlawful or fraudulent use of the Website;

  • your material breach of these Terms;

  • your infringement or violation of another person’s rights;

  • content submitted by you; or

  • unauthorized resale, diversion, or commercial exploitation of Gentlerist products.

This provision does not apply to claims arising from Gentlerist’s own unlawful conduct or where indemnification is prohibited by applicable law.

22. Informal Dispute Resolution

Before initiating arbitration or litigation concerning a dispute that cannot be resolved through ordinary customer care, the party asserting the dispute must provide the other party with written notice describing:

  • the name and contact information of the person asserting the claim;

  • any relevant order number;

  • the nature and factual basis of the dispute; and

  • the relief requested.

Notices to Gentlerist may be sent to care@gentlerist.com with the subject line “Notice of Dispute.”

The parties will make a good-faith effort to resolve the dispute informally for at least 30 days after receipt of a complete Notice of Dispute before commencing arbitration, except where immediate action is reasonably necessary to prevent expiration of a claim or obtain emergency relief.

23. Binding Individual Arbitration & Class-Action Waiver

Please read this section carefully. It affects your legal rights.

Except for the matters expressly excluded below and to the fullest extent permitted by applicable law, you and Gentlerist agree that any dispute, claim, or controversy arising out of or relating to:

  • these Terms;

  • use of the Website;

  • a direct order or transaction with Gentlerist;

  • advertising or communications by Gentlerist;

  • a Gentlerist product purchased directly from Gentlerist; or

  • the relationship between you and Gentlerist

will be resolved through binding arbitration on an individual basis rather than in court.

Federal Arbitration Act

This arbitration agreement involves interstate commerce and will be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16 (“FAA”), including with respect to its interpretation and enforcement.

Arbitration Administrator

Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect when the arbitration is commenced, as modified by these Terms.

If AAA is unavailable or unwilling to administer a particular dispute, the parties will attempt in good faith to agree upon another nationally recognized arbitration provider. If they cannot agree, a court of competent jurisdiction may appoint an arbitrator or administrator as permitted by the FAA.

Individual Proceedings Only

You and Gentlerist agree that each may bring claims against the other only in an individual capacity.

To the fullest extent permitted by applicable law:

  • no dispute may be brought or arbitrated as a class action, collective action, mass action, or representative proceeding on behalf of other persons;

  • an arbitrator may not consolidate the claims of multiple persons without the consent of all affected parties; and

  • the arbitrator may award declaratory or injunctive relief only to the extent necessary to provide relief warranted by the individual claimant’s claim.

If a court determines that a particular claim or request for relief cannot lawfully be subject to this individual-action requirement, that claim or request will be severed and resolved in court after completion of arbitration of all arbitrable claims, unless applicable law requires otherwise.

Arbitrator’s Authority

The arbitrator may award any individual remedy or relief that would otherwise be available in a court of competent jurisdiction, subject to these Terms and applicable law.

The arbitrator will have authority to determine issues relating to the scope, interpretation, and application of this arbitration agreement, except that a court will determine any dispute concerning the enforceability of the class-action waiver itself where applicable law requires judicial determination.

Hearing

Arbitration may be conducted based upon written submissions, by telephone, videoconference, or in person as permitted by the applicable AAA rules and determined appropriate under the circumstances.

Nothing in these Terms requires a consumer to travel to Texas for an arbitration hearing where applicable arbitration rules or law provide otherwise.

Fees

Arbitration fees and costs will be allocated in accordance with the applicable AAA Consumer Arbitration Rules and applicable law.

Gentlerist will pay fees that applicable AAA consumer rules require the business to pay.

Exceptions

Either party may bring an eligible individual action in small claims court rather than arbitration.

Gentlerist may also seek temporary, preliminary, or injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, Website security, or to prevent unauthorized resale, diversion, fraud, or misuse while arbitration is pending or where arbitration would not provide sufficiently timely relief.

30-Day Right to Opt Out

You may opt out of this arbitration agreement by sending written notice to care@gentlerist.com within 30 days after the date you first become bound by these Terms.

The subject line must state “Arbitration Opt-Out.”

Your notice must include your full name, the email address associated with your account or purchase, your mailing address, and a clear statement that you wish to opt out of the arbitration agreement contained in the Gentlerist Terms of Service.

Opting out of arbitration will not affect the other provisions of these Terms or your ability to purchase from Gentlerist.

24. Waiver of Jury Trial

To the extent a dispute is permitted to proceed in court rather than arbitration, you and Gentlerist knowingly and voluntarily waive, to the fullest extent permitted by law, any right to a trial by jury.

This waiver does not apply where applicable law prohibits such a waiver.

25. Texas Governing Law & Forum

These Terms and any dispute arising out of or relating to these Terms, the Website, or a direct transaction with Gentlerist are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent that mandatory laws applicable to a consumer provide otherwise.

For any dispute or claim that is not subject to arbitration and is not properly brought in small claims court, you and Gentlerist consent to the exclusive jurisdiction of the state and federal courts serving the Texas county in which Gentlerist maintains its principal place of business.

You waive any objection based on personal jurisdiction, improper venue, or inconvenient forum to the fullest extent permitted by applicable law.

Nothing in this section deprives a consumer of protections afforded by mandatory law that cannot contractually be waived.

26. Events Beyond Our Control

Gentlerist will not be responsible for delay or failure to perform an obligation where the delay or failure results from circumstances beyond our reasonable control.

These circumstances may include severe weather, natural disasters, fire, flood, epidemics or pandemics, war, civil unrest, governmental action, labor disputes, transportation or carrier disruption, customs action, power or telecommunications failures, cyber incidents affecting third-party infrastructure, shortages of materials, or failures by suppliers or service providers outside our reasonable control.

This provision does not limit rights or remedies that applicable law requires us to provide.

27. Termination & Restrictions

We may suspend or terminate access to the Website, an account, purchasing privileges, or our services where reasonably appropriate due to violation of these Terms, suspected fraud or abuse, unlawful activity, security matters, unauthorized resale or diversion, or conduct that threatens Gentlerist, our customers, retail partners, or third parties.

Provisions that by their nature should survive termination—including intellectual property, limitation of liability, indemnification, and dispute-resolution provisions—will continue to apply.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Gentlerist may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, transfer of the business, or similar transaction, subject to applicable law.

29. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed to the minimum extent necessary, and the remaining provisions will remain in effect.

30. No Waiver

A failure or delay by Gentlerist in exercising any right or enforcing any provision of these Terms does not constitute a waiver of that right or provision.

Any waiver must be express and applies only to the specific circumstance for which it is given.

31. No Third-Party Beneficiaries

Except as expressly stated in these Terms, these Terms do not create rights or remedies in favor of any person or entity other than you and Gentlerist.

32. Entire Agreement

These Terms, together with the policies and notices incorporated by reference, constitute the agreement governing your use of the Website and direct purchases from Gentlerist, except where a separate written agreement expressly applies.

If there is a conflict between these Terms and a more specific Gentlerist policy concerning a particular matter, the more specific policy will govern that matter.

33. Changes to These Terms

We may update these Terms from time to time.

Changes will become effective when the revised Terms are posted to the Website unless otherwise stated or required by applicable law.

The Terms in effect when an order is placed will generally govern that transaction.

A material change to the arbitration or dispute-resolution provisions will not retroactively apply to a dispute of which Gentlerist had received written notice before the effective date of the change, unless the parties agree otherwise.
